Technology Attorney

This Corporate & Transactions Attorney supports our Purpose in their work supporting the negotiation, drafting, and review of major contracts. This role primarily supports Southwest’s Technology Department, and they’ll draft and negotiate technology agreements, amendments, and analyze/interpret existing agreements. This Attorney will work collaboratively with Teams and Leaders in Technology, Supply Chain Management, Southwest Business, and various stakeholders throughout the Company. The Corporate & Transactions Attorney is a detail-oriented thinker and is excited to champion their work and stakeholders forward. Additional Details:

  • This role is offered as a regional workplace position and Employees must work in the region they support. This could require working from a mix of on-site Company facilities and remote based offices to perform the job function in a regional location determined by business need. Each Department will provide Employees with guidance on when and where presence is required with as much notice as reasonably possible.  
  • Please note, while this is a regional position, there is limited group of states or localities ineligible for Employees to regularly perform their work off-site. Those ineligible locations are:Alaska, Delaware, New Jersey, North Dakota, South Dakota, Vermont, West Virginia, and Wyoming.

Licensed attorney with solid corporate law and transactional experience, provides excellent legal counsel and guidance, negotiates complex agreements, has the ability and desire to learn a broad range of practice areas, and effectively represents Southwest with outside vendors, lawyers, and others.


Responsibilities

  • Must be able to meet any physical ability requirements listed on this description.
  • May perform other job duties as directed by Employee's Leaders.
  • The Attorney – Corporate & Transactions represents the Company generally through interaction with (i) various departments and their Leaders within the Company and (ii) external parties with whom the Company does, or may do, business, each with limited supervision of an Associate General Counsel or other more senior attorney; and, specifically:
  • Act as a legal contact for supply chain management, technology and other departments of the Company in negotiating, drafting and reviewing major and/or non-standard commercial and technology contracts, including licensing agreements, maintenance agreements, professional services agreements, cloud services agreements, outsourcing agreements, software as a service agreements, hardware purchasing agreements, e-commerce agreements, website and mobile hosting and development agreements, evaluation agreements, non-disclosure agreements, and telecommunications agreements.
  • Analyze and interpret existing Company agreements to provide advice and guidance.
  • Collaborate with legal department colleagues on a variety of legal and regulatory issues, with an emphasis on privacy, security and regulatory compliance.
  • Provide legal counsel on intellectual property issues, including trademarks, copyrights, patents, and domain names.
  • Strategically manage outside counsel and budgets.
  • Ability to effectively prioritize and manage concurrent projects with competing Company demands.
  • Performs other duties requiring legal research and analysis and/or negotiations as may be requested by the General Counsel, an Associate General Counsel, or other more senior attorney.

  • Ability and willingness to gain expertise and perform work in new areas of the law
  • Ability to be proactive, have excellent organizational skills, and perform efficiently and effectively on multiple projects under tight deadlines


Education

  • Required: High School Diploma or GED
  • Required: Bachelor’s Degree
  • Required: Law degree from accredited school


Experience

  • Intermediate-level experience with a mid-sized to major law firm or in-house legal department as a practicing transactional attorney with a focus on technology transactions, privacy and data protection.
  • Intermediate-level experience with matters involving drafting, reviewing, and negotiating major and/or non-standard commercial and technology contracts, including licensing agreements, maintenance agreements, professional services agreements, cloud services agreements, outsourcing agreements, software as a service agreements, hardware purchasing agreements, e-commerce agreements, website and mobile hosting and development agreements, evaluation agreements, non-disclosure agreements, telecommunications agreements, and privacy and data protection laws in the US, including matters such as regulatory compliance (specific experience with DOT regulations is a plus).


Licensing/Certification

  • Must be a current member in good standing of a bar association


Physical Abilities

  • Ability to perform work duties from work station/desk/office area for extended periods of time
  • Ability to communicate and interact with others in the English language to meet the demands of the job
  • Ability to use a computer and other office productivity tools with sufficient speed and accuracy to meet the demands of the job


Other Qualifications

  • Must maintain a well-groomed appearance per Company appearance standards as described in established guidelines
  • Must be a U.S. citizen or have authorization to work in the United States as defined by the Immigration Reform Act of 1986
  • Must be at least 18 years of age
  • Must be able to comply with Company attendance standards as described in established guidelines
  • Must be willing to travel when required for the job
  • Must be able to work flexible schedule to include non-business days and hours as needed to meet client needs


Pay & Benefits:

Competitive market salary from $161,480 per year to $174,920 per year* depending on qualifications and experience. For eligible Leadership and individual contributor roles, additional bonus opportunities are available and awarded at the discretion of the company.
