Senior Corporate Counsel

This role is fully remote and can be done anywhere in the US.


VMware is looking for an experienced attorney to join its Commercial Legal Team as the lead attorney supporting the global Telecommunications (“Telco”) sales vertical and Telco channel program. This position may be based in any VMware office, and remote/home office will be considered. Core Responsibilities

  • Support global sell-to and sell-through contract activities with VMware’s Telco customers as end users and channel partners, working with both end user and partner sales leadership teams and a global team of attorneys and contract managers in VMware’s Commercial Legal Group. Many of these sales transactions will require new solutions and business models as well as creative thinking and extensive collaboration with other teams to solve for both discreet transactions and programmatic issues.   
  • Collaborate with channel and go-to-market teams to help design, augment and streamline VMware telco partner program strategy, and develop templates, playbooks and related guidance.  
  • Provide expert, pragmatic advice to VMware’s sales teams, business units, and other stakeholders on go-to-market strategy, current and potential legal and commercial issues, industry specific requirements, and transactional guidance.
  • Draft, review, and negotiate a broad range of commercial agreements with Telcos (and assist, support and mentor other negotiators who do so), including cloud/software-as-a-service, software licensing, professional services, data privacy, channel partner; leading and/or managing complex, ground-breaking and high value transactions.
  • Monitor and proactively address changing regulations, industry and market trends.
  • Effectively work with a variety of business, finance and legal stakeholders to develop and implement practices that support innovation and growth while maintaining appropriate commercial risk.
  • Develop various enablement and training materials for VMware stakeholders, including sales/business units and legal colleagues, focusing on the specific industry standards, contracting requirements, trends, and developments.
  • Drive and/or assist with various legal department projects that support the legal department goals, including VMware’s transition to a cloud services company, as well as efforts to develop, implement and enhance processes that improve transaction velocity and scaling without material increases in risk.
  • Act as a fiduciary for the company, driving compliance in day-to-day sales activities, including providing training and counseling to sales professionals and coordinating with other groups within the VMware Legal Department on compliance matters.
  • Other projects that may be assigned from time to time.


Required Skills:

  • 12+ years of Commercial legal experience with a large law firm and/or in a fast-paced corporate legal group for an enterprise technology company, Telco or similar.
  • Experience contracting with large Telcos to enable them to purchase software/services/products (a) for Telco’s internal use, (b) to support Telco product/service offerings to their customers, and/or (c) to resell to Telco end users. 
  • Experience supporting sales transactions of on-premise software and SaaS/Cloud based service to enterprise customers.
  • Experience supporting a channel partner program and working with channel partners (e.g. distributors, resellers, service providers) is not required but highly valued.
  • Experience partnering with business clients to develop strategy is not required, but highly valued.
  • Working knowledge of antitrust and competition laws in the context of channel pricing and discriminatory practices is not required, but highly valued.
  • US and global telecommunications/communications service provider regulatory compliance experience is not required, but highly valued.
  • An excellent negotiator who knows how to keep complex legal negotiations simple and clear, who knows how to facilitate appropriate internal decision-making processes and who strives to find a mutually agreeable outcome in an efficient but risk-conscious manner.
  • A self-starter and highly motivated, creative, and innovative mindset.
  • Excellent communication and people skills, with the ability to be comfortable and confident working with any internal stakeholder or customer.
  • A practical and proactive problem solver who possesses strong business acumen, are confident and calm under fire and can work with all manner of personalities.
  • Able to prioritize and juggle multiple tasks in a fast-paced environment and get the right things done.
  • Strong interpersonal skills.
  • Honest, diligent, empathetic and nice.
  • JD from an accredited US law school.
  • Member of a State Bar and in good standing.
