Senior Corporate Counsel

Remote (United States)

UKG is seeking an experienced, motivated, practical and solution-oriented attorney to drive legal matters in the Public Sector Sales Vertical. This role will primarily focus on the review, drafting and negotiation of a wide variety of commercial agreements to support the company’s diverse offerings, including SaaS agreements, software licenses, equipment purchase agreements and professional services agreements.


In this role, you will provide vital legal and operational support to our Public Sector sales team on a wide range of legal matters affecting the vertical. You will work closely with our Sales and Services teams and in conjunction with internal partners in our Information Security, Cloud, Product Management, Finance and other teams.


The role will report to the UKG Vice President and Assistant General Counsel.


Responsibilities:

  • Draft, review and negotiate a variety of commercial agreements and supporting documentation, including customer contracts, public sector buying vehicles, reseller arrangements, certifications, vendor contracts, and others.
  • Analyze legal risk with attention to detail while creatively overcoming obstacles.
  • Solve complex issues using analytical thinking to identify innovative solutions.
  • Assist Contract Negotiators (non-attorneys) in their support of sales negotiations.
  • Create and update UKG agreement templates.
  • Provide timely support to our Sales organization and other cross-functional stakeholders (including by creating and delivering training).
  • Develop policies, procedures, and techniques to support Public Sector negotiations.
  • Ad hoc projects as required in variety of legal practice areas to support global business.


Qualifications

  • Strong transactional background, with proven experience in negotiating, drafting and advising clients on technology-related commercial contracts, including software licensing and cloud services in the public sector
  • Knowledge and experience handling privacy issues and laws
  • Self-starter able to work in a very fast paced, changing environment with ability to multi-task and manage competing priorities
  • Exceptional communication skills and an ability to engage effectively with a variety of levels and audiences
  • Ability and confidence necessary to work independently and across multiple functions
  • Previous in-house experience at an enterprise SaaS company is a plus
  • JD and current admission in US jurisdiction
  • 7 - 10 years experience in law firm or global corporation
