Managing Director & Counsel (Project Finance)

GE Vernova’s Financial Services business provides customers with a suite of financing solutions for projects that aim to accelerate a new era of energy. We deploy sizeable capital into energy projects globally through development financing, direct equity investments, and capital raising from private and public financial institutions.


This role supports GE Vernova - Financial Services on commercial transactions. Primary focus on energy project finance, tax equity transactions, early to late-stage development, bridge loan structures and M&A transactions. Exposure on transactions involving capital markets advice and structuring on functional, project, program and strategic issues. Provide advice, counsel, structuring, negotiation and drafting on sophisticated transactions in the energy field.


Role Responsibilities

  • Manage multiple transactions and portfolio matters within a high-paced environment, and to prioritize conflicting demands from a large and diverse client base
  • Function independently and effectively as a member of business teams in addition to the legal team
  • Assume a major role in structuring, negotiation, documentation and supervising outside counsel on transactions
  • Evaluate situations using multiple sources of information, responsible for advising business on legal issues related to commercial transactions (which may include advice regarding origination, development, due diligence, investment, asset/account management, portfolio administration, disputes, workouts/restructurings and realization)
  • Assist managers in market and product development as well as policy compliance


Qualifications

  • Juris Doctorate
  • 5+ years of experience in relevant areas based on work at a large law firm, financial services organization or corporate legal department
  • Energy industry experience in project finance debt and equity documentation, project transactional documents, as well as joint venture transactions including JDAs and SHAs
  • Demonstrated excellent verbal and written communication and negotiation skills­­­­­­­
  • Understanding of financial statements and basic accounting
  • Proficient use of Microsoft Office Suite including Word, Excel, PowerPoint, and Outlook


Desired Characteristics

  • Strong experience with tax equity transactions
  • Established ability to influence actions without direct leadership responsibility for teams or processes, with a proven ability to build relationships within a matrixed environment (both cross-functionally and cross-business)
  • Excellent interpersonal skills and ability to effectively interact with senior management
  • Proven leadership and business partnering skills
  • Experience leading successful negotiations
  • Bi/multi-lingual (Spanish preferred)
