Looking for a NEW GRADUATE


Serve as Legal Counsel to Thales USA, Inc. (Thales) and provide advice on legal, contractual, and compliance issues related to Thales and its affiliates.


Essential Functions:

LEGAL & CONTRACTS

Primary Job Responsibilities:

  • Support the Legal & Contracts function in providing legal advice on commercial and US Government contracts, corporate governance, real estate, intellectual property, employment matters, and other US laws and regulations
  • Draft, negotiate, and review a wide variety of agreements, including nondisclosure agreements, consulting agreements, procurement agreements, and real estate agreements
  • Provide legal support in the negotiation and due diligence process related to mergers, acquisitions, and divestitures
  • Assist with national security compliance
  • Provide legal advice and support in the effective management of disputes, including pre-litigation and litigation matters
  • Review, investigate, and respond to a variety of legal matters on an as-assigned basis

COMPLIANCE: support relevant Thales departments in their management and performance of key compliance activities, including training of management and employees on the kinds of regulations and practices required, administering and supporting investigations into regulatory failures, and making suggestions and updates to internal procedures to secure greater levels of compliance


Compliance Instructions & Trainings Develop detailed knowledge of governance instructions, and provide guidance and tutorials to staff, in coordination with Compliance Officers and departments Schedule, attend, and support regular trainings for Thales employees on the Group’s compliance policies and processes, including anticorruption, due diligence, sponsorships, and gifts and hospitality Assist with preparing and giving presentations for the trainings Monitor the list of people to be trained and ensure that all concerned are trained


Meetings Attend and contribute to all Thales NORAM compliance meetings


Consultants Schedule bi-annual review of the list of consultants by Legal and Finance and/or Procurement, and keep a record or minutes of the review


Due Diligence Serve as the primary point of contract for the Procurement Shared Services Center for due diligence questions, and liaise with relevant Compliance Officers to answer them Support due diligence process on all types of third parties that Thales does business with (e.g., joint ventures, customers, suppliers)


Compliance Communications Support the Communications department in scheduling, drafting, and maintaining records of all communications by Thales NORAM executive management on compliance topics Coordinate with relevant departments to set the list of communication topics each year related to compliance, and send reminders to them in advance about preparation of the draft communications


Audits Support Compliance Officers during internal and external audits (e.g., schedule interviews and meetings, preparing documentation


Minimum Requirements:

  • Juris Doctor (JD) from an American Bar Association accredited law school
  • Member in good standing, as an attorney or corporate counsel, in the Virginia State bar, or eligible for membership (including those applicants who are pending bar exam results)
  •  Corporate legal generalist, having the ability to propose adaptations and adjustments to existing solutions, to develop new solutions in response to clear requirements with a good level of autonomy
  • Advanced problem solving, verbal, and written communications skills
  • Advanced skills in Word, Excel, and Power Point · Excellent attention to detail

Schedule: Either standard or hybrid working models are possible.
