You will be a member of our Corporate Governance Team reporting directly to the Assistant General Counsel, Corporate & Securities. You will provide support on securities matters, including Securities & Exchange Commission (“SEC”) and New York Stock Exchange (“NYSE”) reporting and compliance, Board and Executive Officer governance processes, and other areas as may be assigned. You will work a hybrid schedule requiring 3 days per week at our Lake Forest, IL headquarters.
This position is approved to support relocation of a candidate who is out-of-state.
You Will
- Prepare, review, and file various SEC reports, including but not limited to Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 reports (Forms 3, 4, and 5).
- Ensure timely and accurate submissions of all public filings and NYSE disclosures.
- Monitor and ensure compliance with SEC regulations and corporate governance policies.
- Maintain organized and accurate records of all SEC filings and related documents.
- Conduct legal research related to SEC reporting and compliance issues.
- Stay updated on changes in federal securities laws and regulations, advising the team accordingly.
- Assist in maintaining the company’s compliance calendar and tracking all required filings and deadlines.
- Manage electronic and physical document storage systems to ensure easy retrieval and security.
- Provide support for internal audits and regulatory examinations.
- Support multiple aspects of the Sarbanes-Oxley compliance process, including the quarterly SOX business unit certification process.
- Provide support to Company attorneys in connection with special projects as directed by the Office of the Corporate Secretary.
You Have
- 5 plus years of experience in a global legal department or law firm, with a focus on SEC reporting and compliance.
- Paralegal certificate.
- Experience working in a corporate legal department or law firm specializing in securities law.
- Corporate and securities transactional background, with SEC reporting and public company advisory experience.
- Conducted legal research on Lexis-Nexis, Westlaw, on the Internet, and other legal research tools.
- Acquired an in-depth understanding of business operations and organizational structure.
