General Counsel

Piketon, OH

This position acts in an advisory capacity regarding legal matters to executive, line and staff organizations within the company. Generally assists the company and its subsidiaries and project sites at all levels in the identification and minimization of risks and reducing legal exposure in relation to existing and future operations of the company. Depending upon the specific position, members of the Law Department support the Company in two broad respects:

  • By counseling on legal and risk matters (Including project, corporate, and merger and acquisition risks), and advising throughout project pursuit and execution - from contract negotiation to early identification and resolution of project risks to dispute resolution, and
  • By assisting the company in satisfying applicable compliance and regulatory requirements and mitigating risks on an enterprise-wide basis. This position represents the company in negotiations with third parties and their counsel, government agencies, and other outside parties. This role evaluates the impact of existing and proposed regulations, court decisions, and law including any proposed changes in the law or regulations that might affect company policies and operating procedures.


Members of the Law Department also:

  • Develop negotiation positions and strategies for company transactions Perform analyses of complex legal issues and evolving legal theories as they relate to the company's business
  • Advise and counsel management on legal and business matters and risk management; act as liaison with outside counsel, client representatives, vendors, subcontractors, and governmental agencies, both domestic and foreign
  • Review various contracts, leases, and other corporate legal documents; make recommendations for modification, revision, and clarification of documents as needed.
  • Develop standard documents and perform review of joint venture and partnership documents, secrecy and licensing agreements, contracts, and other corporate documents
  • Prepare powers of attorney, officers' certificates, minutes, resolutions, and other corporate documents for domestic and foreign subsidiaries
  • Advise and counsel company management on matters pertaining to Human Resources law and Labor Relations, coordinating input and guidance from the Board and Corporate Headquarters as appropriate
  • Coordinate with and provide Legal guidance to internal clients. Research and analyze applicable statutes, regulations and case law.
  • Conduct training sessions to reinforce compliance with applicable laws and regulations on the part of all management and staff employees. Ensure internal clients are aware of and are properly implementing administrative policies and procedures.
  • Review and approve non-disclosure agreements, public releases, policy statements, and other internal and external communications, ensure no prejudicial or confidential content is released. Assist and advise on implementation of company’s Proprietary Information policy.
  • Conduct independent compliance and related investigations, coordinate with Headquarters level personnel, under the direction of the Mission Solutions Managing General Counsel.
  • Other duties as assigned by the managing General Counsel.

Basic Job Requirements

  • Accredited professional law degree based on country requirements and ten (10) years of work-
  • related experience; a professional license, certification, or registration that may be required in order to practice law in the applicable jurisdiction; some locations may have additional or different qualifications in order to comply with local requirements

Fluor-BWXT Portsmouth LLC is the U.S. Department of Energy’s (DOE) contractor for the decontamination and decommissioning of the Portsmouth Gaseous Diffusion Plant in Piketon, Ohio. The Fluor Law Department fills the General Counsel position at Fluor-BWXT and there is presently an opening for the General Counsel position. The selected candidate will provide legal leadership and support to Fluor-BWXT’s programs and directorates, the Fluor-BWXT President/CEO, and functional support organizations on the full range of legal, business, and compliance issues that can arise in the operation of a federally owned, federally-financed facility. The selected candidate will have full responsibility for managing all aspects of the Fluor-BWXT Office of General Counsel.


The selected candidate will be expected to give legal guidance and independently handle matters of considerable complexity and importance to Fluor-BWXT and the Portsmouth site, often implicating the interests of multiple stakeholders, and to provide legal leadership to Fluor-BWXT-wide policy and process initiatives pertaining to business systems, internal controls, human resources, ethics and compliance, contracting, and intellectual property protection and exploitation. In performing these duties, the selected candidate will provide legal advice and counsel on a wide range of legal and factual issues, working closely with varied internal and external stakeholders. He or she will represent and defend Fluor-BWXT/the Portsmouth Site, on a multitude of complex legal matters and will solve legal issues that are diverse and multi-faceted in scope with significant impact on Fluor-BWXT/Portsmouth Site operations.


Will report operationally to the Fluor-BWXT President, and functionally to the Managing General Counsel of Fluor Mission Solutions and ultimately the Chief Legal Officer of Fluor Corporation.

  • Manage the Fluor-BWXT/Portsmouth Site Office of General Counsel
  • Draft and review business governance documents, as well as contracts, licenses and other documents related to business operations.
  • Draft and provide guidelines in drafting policies and procedures for procurement and contracting, human resources, the business ethics program and for other business and compliance-related activities.
  • Protect the interests of Fluor-BWXT and the Portsmouth Site, in matters involving litigation, claims, human resources, and labor relations; manage all outside counsel, and provide legal oversight and guidance with regard to all internal investigations.
  • Administer the Fluor-BWXT Litigation Management Plan.
  • Provide legal guidance to Fluor-BWXT senior management and functional areas and assist in development of Fluor-BWXT/Portsmouth Site policies and procedures.
  • Assume leadership role with management and other functional personnel on multi-disciplinary teams.
  • Perform all assignments in accordance with ES&H, Security, and business practice requirements and policies.
  • Analyze and interpret laws, contracts and regulations and draft legal guidance on such matters in a way that fully complies with the foregoing.
  • Solve legal issues that are diverse and multi-faceted in scope with significant financial impact on Fluor-BWXT/Portsmouth Site operations.
  • Plan and execute legal strategies and solve complex problems with potential Fluor-BWXT/Portsmouth Site - wide significance.
  • Conduct and direct privileged investigations in support of compliance and related efforts.


Preferred Qualifications

  • Juris Doctorate degree from an accredited law school, licensed to practice law in a state of the United States, or Washington, D.C., and able to meet Ohio requirements for registration of Corporate General Counsel.
  • Strong PC skills including Microsoft software.
  • Eligibility to obtain or maintain a DOE security clearance.
  • 12 or more years of related experience.
  • Demonstrated advanced analytical, written and verbal communication, and leadership skills.
  • Experience interacting with government agencies at the federal, state and/or local level.
  • Advanced public speaking and presentation skills.
  • Demonstrated comprehensive knowledge/understanding and significant experience practicing business or related public law in a setting requiring substantial client contact and the application of independent judgment.
  • Significant experience in successful negotiations involving multiple stakeholders.
  • Significant experience successfully drafting complex contractual agreements and negotiating settlements.
  • Demonstrated success in leading multidisciplinary teams tasked with solving complex problems/disputes in an environment implicating the interests of multiple stakeholders.
  • Significant experience in drafting formal and informal legal guidance and policy documents.
  • Work remotely and in an office. May also need to work within the project site, requiring certain PPE depending on project conditions. May also work at off-project sites representing the organization at various types of locations throughout the community for business purposes. Potential exposure to equipment movement hazards, dangerous chemicals/solvents or hazardous materials if proper safety procedures are not followed.
  • Ability to perform sedentary to light work, exerting up to 50 pounds of force occasionally (any exertion of force/lifting greater than 45 pounds requires usage of a two person “buddy system”), non-repetitive, up to 20 pounds of force frequently, and/or up to 10 pounds of force constantly, repetitive; performing such activities as lifting, lowering, carrying, pushing, pulling, standing, walking, grasping, kneeling, stooping, reaching.
  • Experience providing legal support to an organization that provides services to the U.S. Government.
  • Prior interaction with and knowledge of the Department of Energy (DOE) and, more generally, working knowledge of federal procurement law.
  • Experience practicing or overseeing the practice of environmental law.
