Director, Strategy & Development
Martin Marietta’s Strategy & Development group was formed in 2013, reporting to the CEO, to support the Company’s growth objectives. With a lean staff and significant involvement with senior management, the team is primarily responsible for M&A development and execution, long-range strategic planning, market research and analysis, investor relations support and other special projects. Since inception, completed transactions have ranged from small family-owned bolt-on acquisitions to large platform public-company mergers. Since 2021, the Strategy & Development team has executed on over $3 billion in closed acquisitions and over $1 billion of announced divestitures.
Reporting to the Senior Vice President, Strategy & Development, this position works closely with Martin Marietta’s corporate executive and operational business leaders to develop Martin Marietta’s strategic growth priorities, evaluate capital deployment alternatives and execute M&A transactions to continue driving significant long-term shareholder value. This is a high-profile and challenging role with significant senior executive exposure. The ideal candidate enjoys analyzing complex problems, works effectively with cross-functional teams and thrives in a fast-paced environment with tight timelines.
Primary Responsibilities:
Mergers & Acquisitions
- Identify and prioritize acquisition targets in alignment with the company’s strategic plan
- Perform detailed financial analysis including discounted cash flow models, comprehensive pro-forma merger models, accretion/(dilution) analysis and analysis at various prices
- Lead cross-functional due diligence efforts across operations, finance, accounting, legal, HR, IT, tax and third-party advisors
- Formulate and present transaction proposals to the senior executive team that include a thorough evaluation of the strategic rationale, risks, valuation and financial return metrics
- Negotiate letters of intent and transaction purchase agreements
- Lead post-close integration teams to identify, capture and realize deal synergies
- Cultivate relationships with family-owned business owners, investment banks, private equity sponsors, business unit management and other stakeholders to proactively drive deal sourcing opportunities
- Refine valuation models and standardize transaction and integration processes
Additional Responsibilities
- Identify portfolio rationalization opportunities and lead divestiture/separation efforts
- Support development of ad hoc senior executive and board of director presentations
- Participate in various special projects including corporate finance initiatives, capital market trends, commercial and competitive dynamic studies
- Support investor relations activities including preparation of quarterly earnings releases and investor presentations
Position Requirements:
- MBA required
- Transaction execution and valuation experience (mergers, acquisitions, divestitures) required
- Self-starter with an ability to work independently within tight timelines
- 5+ years related work experience including investment banking, corporate development, private equity, strategy consulting or Big 4 transaction services
- Experience working with corporate executives and business owners
- Strong mathematical, analytical, project management, and problem solving skills
- Detail oriented with the ability to think critically in solving complex issues
- Excellent communication skills both written and verbal; outstanding interpersonal skills
- Advanced Microsoft Excel, PowerPoint and FactSet skills
- Relocation to Raleigh, North Carolina required (comprehensive relocation package provided)
