Director Legal Counsel
Day In The Life:
The Bay is seeking a lawyer to cover a one year maternity leave with at least four to five years of corporate-commercial experience at a reputable law firm and/or as an in-house counsel The successful candidate will be expected to draft, review, and negotiate contracts related to many aspects of the retail business, provide strategic and proactive advice on a wide variety of issues, serve as the legal lead for cross-functional projects and advise on policy matters. In collaboration with The Bay's cross-functional teams, the Director, Legal Counsel will be entrusted to provide day-to-day counsel as well as recommendations on policies/compliance protocols to protect The Bay, its customers, employees, and third party partners.
What You Will Do:
- Draft, review and negotiate a wide variety of commercial agreements, including technology, supply chain/logistics, FinTech, information security and other operational and vendor agreements
- Provide strategic advice and guidance to stakeholders regarding business and legal issues and risks across a wide range of portfolios including supply chain, technology, digital, financial services and marketplace
- Advise on regulatory compliance and corporate governance matters
- engage in and serve as the legal lead on various company-wide projects and initiatives
- issue-spot sensitive legal and business concerns within complex deals and coordinate with cross-functional teams to minimize risk
- Improve the Legal Department’s database of template agreements and participate in the expansion and oversight of the contract management process
- Provide substantive support for the rest of the Legal team on an as-needed basis
What You Will Need:
- At least –4-5 years of corporate-commercial experience at a reputable law firm and/or as an in-house counsel (ideally a retail environment)
- Must be a member in good standing of the bar
- Strong communication skills, ability to present clear, practical and business-oriented legal advice
- Ability to work in a dynamic, fast-paced environment and to adapt quickly to changing priorities
- Highly self-motivated and proactive; eager to take ownership over work product and able to advance work independently
- Team-oriented; demonstrates a commitment to shared success
- Excellent interpersonal skills and ability to develop collaborative relationships at all levels in the organization
- Strong analytical and problem solving skills combined with attention to detail and thoroughness
- Excellent organizational skills and capability to effectively manage priorities while meeting timelines
