Director, Legal Counsel

Allendale, NJ

The Director, Legal Counsel — IS Strategy and Transactions — can be remote or based in Allendale, NJ or Kalamazoo, MI. Will join a team of key legal partners to Stryker's Global Information Systems function. This attorney will work closely with the Information Systems function on a broad range of matters impacting the IS Function, including compliance issues, policies, and Information System related vendor transactions such as global service providers, global SaaS agreements, telecom etc.


Essential Duties & Responsibilities:

  • Teamwork and communication are essential to success in this role
  • As part of a team, establish and maintain standards for buy-side technology related contracts
  • Draft and negotiate strategic and routine information technology agreements including Telecom, SaaS, software licensing, services, outsourcing etc. and proactively handle various commercial legal matters   
  • Support IS compliance with regulations, contracts and software licenses
  • Support software license audits and negotiate settlements
  • Support implementation of standards for use of open source code (e.g., when to use, license compliance).
  • Responsible for contributing to solutions to complex problems which could have a significant impact on the company
  • Responsible for prioritizing multiple issues and coordinating with large project groups to develop solutions to complex problems
  • Responsible for providing legal advice related to significant issues and making decisions related to legal matters which could have a large financial impact on the company including areas involving litigation, intellectual property, compliance with laws, investigations, contracting, government relations, sales agreements, tender agreements, company secretarial issues, tax matters, and supply or vendor relationships among others
  • Responsible for a significant number of issues, prioritizing and delivering timely results
  • Manage and strategize with outside counsel       
  • Assist on other matters as needed          


Education & Special Trainings:

  • Law degree and admission to practice law in applicable jurisdiction


Qualifications & Experience:

  • Requires in depth experience drafting, advising and negotiating contract terms related to telecom, technology, data security and privacy
  • Minimum 10 years applicable professional experience; prior professional experience considered          
  • Demonstrates strong judgment, professional demeanor and business acumen
  • Possesses strong organizational skills and is able to manage numerous projects and conflicting demands in a fast-paced environment         
  • Possesses strong interpersonal skills and ability to communicate at all levels of corporate organization           
  • Maintains confidential information    
  • Demonstrates proficiency in the Microsoft Office suite
