Corporate Counsel

Remote (United States)

The Corporate Counsel leads the U.S./North American Commercial function within the Legal team. This role supports a variety of commercial and business transactional activity at Bird. This role also supports the introduction of new product features and data governance. In addition to supporting contract drafting and negotiation, the Corporate Counsel will develop and maintain templates and Standard Operating Procedures (SOPs) or policies for managing various types of commercial relationships. As a result, this role interacts closely with a broad set of company stakeholders, including Operations, City Growth, Government Partnerships, Marketing/Brand, Accounting/ Finance/ Corp Dev, Vehicle/Supply Chain, Consumer Products, Product, Technology, and more. In addition, the Corporate Counsel may work on corporate matters, including financing activities (debt and equity) and M&A.


Responsibilities

  • Structure, draft and negotiate a variety of commercial agreements, and manage commercial contracting policies for vendor agreements with key manufacturers, hardware suppliers, software companies and other service providers; complex sales/customer agreements; and other data and IP licensing and marketing agreements.
  • Advise and counsel business teams on a broad range of laws and regulations, including FTC guidelines, consumer protection laws, and IP, marketing, privacy and data security regulations.
  • Oversee intellectual property portfolio, including assisting the company to identify patentable inventions and other assets, maintaining its trademark portfolio and assessing challenges, and developing a data licensing strategy.
  • Provide additional support on corporate matters, including financing activities (debt and equity) and M&A transactions, as well as joint ventures and strategic partnerships.
  • Build close relationships with business and operations teams and executives, and obtain and maintain a strong knowledge of Bird products, services and strategic objectives.
  • Develop and maintain infrastructure for U.S./North American Commercial function through thought leadership and optimization of document and contract management processes.


Requirements

  • Experienced attorney with 5-8 years of transactional experience, and superior drafting and negotiating skills
  • JD from a top tier law school and member of at least one state bar
  • Experience at a nationally-recognized law firm focusing on corporate and commercial matters 
  • In-house experience with a fast-paced technology company a strong plus
  • Business minded -- ability to proactively analyze risks and provide business-minded advice and recommendations to thoughtfully drive Bird’s continued success and growth.
  • Ability to work independently while being able to contribute successfully to cross-functional teams
  • Passion to work hard in a fast-paced environment
  • Excellent organizational skills; ability to manage multiple projects at once, follow through and meet deadlines
